Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website at fuseonc.com and related Fuse Oncology web pages (the “Site”), operated by Fuse Oncology, Inc. (“Fuse Oncology,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
These Terms govern use of the public Site only. Use of Fuse Oncology’s software products and services is governed by a separate written agreement (such as a Master Services Agreement and applicable order forms and Business Associate Agreement) between Fuse Oncology and the customer.
1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Site. If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and you agree to provide accurate, current information.
2. Acceptable use
You agree not to:
· Use the Site in violation of any applicable law or regulation;
· Infringe the intellectual property or other rights of Fuse Oncology or any third party;
· Upload or transmit malicious code, or interfere with or disrupt the integrity, security, or performance of the Site;
· Attempt to gain unauthorized access to any portion of the Site or related systems; or
· Use any automated means to scrape, harvest, or collect information from the Site without our prior written consent.
3. Intellectual property
Unless otherwise stated, Fuse Oncology and its licensors own all intellectual property rights in the Site and its content, including text, graphics, logos, and software. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your own internal or personal, non-commercial purposes. You may not republish, sell, rent, sub-license, reproduce, duplicate, copy, or otherwise exploit Site content except as expressly permitted by these Terms or with our prior written consent. The Fuse Oncology name, logos, and product names are trademarks of Fuse Oncology; no license to use them is granted without a separate written agreement.
4. User submissions
Certain areas of the Site may allow you to submit comments, feedback, or other content (“Submissions”). You retain ownership of your Submissions, but you grant Fuse Oncology a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display Submissions in connection with operating and promoting the Site and our business. You represent that you have all necessary rights to your Submissions and that they do not violate any law or third-party right and are not defamatory, infringing, obscene, or otherwise objectionable. We may, but are not obligated to, monitor, edit, or remove Submissions at our discretion.
5. Third-party links and content
The Site may link to or incorporate third-party websites, content, or services that we do not control. We provide these for convenience only and do not endorse and are not responsible for them. Your use of third-party websites and services is governed by their own terms and policies.
6. Linking to the Site
You may link to our homepage or content provided the link: (a) is not deceptive; (b) does not falsely imply sponsorship, endorsement, or approval by Fuse Oncology; and (c) is presented in a lawful context that does not disparage us or our products and services. We may withdraw permission to link at any time. You may not frame or use our trademarks or logos in any link without our prior written permission.
7. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, error-free, or that content is accurate, complete, or current. Nothing on the Site constitutes medical, clinical, legal, or professional advice.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSE ONCOLOGY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud.
9. Indemnification
You agree to indemnify and hold harmless Fuse Oncology and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your Submissions, or your violation of these Terms or any law or third-party right.
10. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction there.
11. Changes to the Site and these Terms
We may modify, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time; when we do, we will revise the “Effective date” above and post the updated Terms. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
12. General
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction. These Terms, together with any agreements referenced here, are the entire agreement between you and Fuse Oncology regarding the Site.
